Do you want to take on a challenging and impactful challenge? We are looking for a Senior Director, Legal Affairs, Transactions. This position can be based at one of our offices in Montreal, Toronto, Ottawa, or Quebec, with a preference for Montreal.

The Role

In this role, you will report directly to the Vice President, Legal Affairs, and contribute to achieving the department's goals and the organization's mission.

Responsibilities

Provide legal advice to the Society's senior management in the areas of infrastructure, P3, project financing, and mergers and acquisitions related to agreements to be put in place with the private developer partner;

Lead and mobilize the three senior legal advisors of the Legal Affairs - Transactions division;

Supervise the legal aspects of the files assigned to you, including those led by the Vice Presidency in charge of business relations, and to this end, collaborate actively with the Society's legal advisors, the private developer partner's legal advisors, VIA Rail's legal advisors, and those of Justice Canada;

Supervise the quality and costs of legal services rendered by the law firms retained by the Society;

Draft, review, and negotiate various types of documents including contracts, analyses, presentations, etc.;

Advise colleagues from other vice presidencies on the legal risks of the project and the Society's obligations, and propose solutions to mitigate them;

Conduct research on specific legal issues.

Requirements

• Law degree and member in good standing of the Quebec or Ontario Bar;

Minimum of 15 years of professional experience in a similar role with a significant commercial and corporate component in the context of large infrastructure projects. Experience in P3 and linear projects is an asset;

Strong leadership and team management skills (minimum of 5 years of team management experience);

Exceptional diligence;

Excellent interpersonal skills;

Experience in business negotiation and contract drafting, particularly in the areas of mergers and acquisitions of companies and financing;

Capable of working in a team-oriented environment and interacting effectively with others;

Dynamic, resourceful, results-oriented;

Persistent, flexible, and efficient;

Bilingualism in French and English, both orally and in writing, is an important asset for this position.
