- Desired Profile.
De Grandpré Chait is seeking a paralegal to join the Corporate Services department. The paralegal will perform various legal and administrative tasks related to commercial, tax, and real estate transactions for our clients. The paralegal will work closely with the lawyers in the Transactional department and will regularly interact with the firm's clients.
Responsibilities.
Under the supervision of the Corporate Services Manager, the paralegal will have the following main responsibilities: *Annual Maintenance:*
- Prepare corporate documentation and make the required deposits with public registries, including the annual update of corporate clients, as well as the new disclosure obligations of the Registraire des entreprises du Québec (REQ) and Corporations Canada;
- Organize and coordinate files while respecting production deadlines;
- Draft and follow up on correspondence with internal lawyers, clients, and accountants involved in the files;
- Conduct minute book studies and produce corporate summaries;
- Update minute books, including preparing annual resolutions and dividend declaration resolutions;
- Draft corporate documents related to changes in any documentation and/or information contained in a minute book or related to the regularization of the same;
- Enter data into our GlobalAct minute book management system;
- Other related tasks.
- *Transactional:*
- Provide support to the Corporate Services team by handling necessary deposits with public registries, including procedures related to incorporations, registrations, recordings, mergers, corrections, modifications, updates, continuations, liquidations, and dissolutions of provincial and federal companies, as well as, in some cases, extra-provincial companies. Assist paralegals and lawyers in the context of transactional, corporate, tax, and real estate operations;
- Draft corporate documents related to transactions involving the purchase or sale of businesses and/or assets, tax planning, real estate transactions, and/or financing;
- Update public registries and minute books following the transactions that have taken place, including data entry into the GlobalAct system;
- Other related tasks.
Required Experience and Knowledge.
- Hold a Diploma of College Studies (DEC) in legal techniques;
- Possess more than five (5) years of professional experience as a paralegal in a relevant field;
- Excellent knowledge of Microsoft Office suite;
- Excellent oral and written communication skills in French and English (for clients outside the province of Quebec);
- Knowledge of GlobalAct for minute book management (an asset).
