Under the direction of the Director of Legal and Corporate Affairs, the lawyer will actively contribute to the Society's routine legal activities and special projects. This person will be responsible for drafting and reviewing legal documents, as well as providing strategic legal advice to the managers of the various business units and the senior management. They will also ensure that the company complies with various applicable laws and regulations, in a dynamic and constantly evolving international environment.

Daily Tasks

• Manage the Society's commercial risks by drafting, reviewing, and analyzing various contractual documents, including tenders, revenue contracts, supply contracts, real estate leases, service contracts, purchase orders, documents related to the acquisition or sale of real estate, and any other relevant commercial contract;
• Draft the corporate resolutions of the Society and its subsidiaries (annual resolutions, dividend declarations, distributions, nominations or modifications of directors and bank signatories, dissolutions, transfers, authorizations for the signing of contracts, etc.);
• Participate in due diligence checks as part of acquisition projects, ensuring a commercial analysis;
• Provide legal and strategic support to the managers of the various business lines, as well as to the support service teams (finance, human resources, marketing, HSE, IT, M&A), in the management of risks and the resolution of complex cases;
• Perform any other task related to the responsibilities of the position.

Skills We Are Looking For

• Hold a bachelor's degree in law and be a member of the Barreau du Québec;
• Have at least 3 years of experience in business law;
• Be bilingual (90% of the workload is in English, both written and spoken);
• Possess excellent analytical skills and a great attention to detail;
• Have a good capacity to solve problems with a great deal of autonomy;
• Demonstrate good stress and priority management to show good ability to manage several important mandates simultaneously;
• Be a positive team player;
• Have very good knowledge of Microsoft Office suite;
• Spanish spoken and written (an asset).
