As part of this growth, we are seeking a Senior Legal Counsel who will play a key role in supporting the company's continued expansion across Canada.
The Opportunity
Reporting to the Chief Financial Officer (CFO) and working closely with the executive team, the Senior Legal Counsel will play a strategic role in supporting Victoria Park's growth through acquisitions, serving as a trusted legal advisor to various departments of the company.
One of the primary responsibilities of this role will be to support the legal aspects of mergers and acquisitions, collaborating with internal teams and external legal advisors to manage transactions, from due diligence to closing and post-acquisition integration.
In addition to contributing to our acquisition strategy, the Senior Legal Counsel will draft and negotiate commercial agreements, provide practical legal advice on a daily basis, and participate in the development of evolving legal processes within the organization.
Victoria Park will continue to engage external law firms for specialized matters. The Senior Legal Counsel will work closely with these partners while identifying opportunities to bring certain legal activities in-house to improve efficiency and reduce costs.
This is an excellent opportunity for a corporate lawyer with experience in mergers and acquisitions, looking to collaborate closely with senior management and actively contribute to the growth of a dynamic organization backed by a private equity fund.
Key Responsibilities
Strategic Growth, Mergers, and Acquisitions
- Serve as the primary in-house legal resource to support Victoria Park's acquisition strategy.
- Coordinate due diligence efforts in collaboration with the Finance, Human Resources, Operations, Integration teams, and external legal advisors.
- Review, draft, and negotiate letters of intent, asset purchase agreements, share purchase agreements, disclosure annexes, transition agreements, and other transactional documents.
- Identify legal risks throughout transactions and provide practical recommendations to support informed business decisions.
- Coordinate the various legal aspects to ensure the smooth progression of transactions according to established timelines.
- Support the legal aspects of post-acquisition integration, including the review and harmonization of contracts, employment documentation, and corporate records.
- Participate in the development of processes, templates, and standardized documents to support Victoria Park's continuous growth.
- Commercial Contracts and Legal Support for Business Operations
- Draft, review, negotiate, and advise on a wide range of commercial agreements, including:
- Professional service agreements with physicians, nurses, and other healthcare professionals
- Contracts with suppliers and partners
- Technology and software agreements
- Marketing and partnership agreements
- Non-disclosure agreements (NDAs)
- Lease agreements and modifications
- Other commercial and operational contracts
- You will also:
- Develop contract templates and practical guides to improve uniformity and efficiency.
- Provide practical, business-oriented legal advice to various managers.
- Support contract negotiations by balancing legal risks and business objectives.
- Contribute to the improvement of legal processes and contract management practices.
- Employment Law, Personal Information Protection, and Compliance
- Provide practical legal advice on employment law, including employment contracts, internal policies, and applicable legislation.
- Support the Human Resources team with daily legal matters, while collaborating with specialized legal advisors for complex cases.
- Advise the organization on personal information protection laws, including the Act 25 (Quebec), the LPRPDE (PIPEDA), and the PHIPA.
- Guide managers in understanding the regulatory requirements applicable to the healthcare sector and consumer protection laws.
- Identify legal and compliance risks and recommend practical solutions.
Corporate Governance and Risk Management
- Support the executive team and board of directors' initiatives from a legal perspective.
- Recommend practical approaches to managing legal risks while supporting business objectives.
- Participate in the implementation of evolving legal processes that support the company's continuous growth.
- Management of External Legal Advisors
Victoria Park collaborates with specialized law firms across Canada for matters such as litigation, employment law, taxation, healthcare regulation, personal information protection, and complex corporate transactions.
As the Senior Legal Counsel, you will:
- Serve as the primary point of contact with external legal advisors.
- Determine which matters can be managed in-house and which require specialized expertise.
- Coordinate external legal resources to ensure an effective, efficient, and cost-effective service.
- Manage legal budgets and external fees.
- Identify opportunities to bring certain legal activities in-house while continuing to leverage external expertise where it adds value.
Qualifications
We are looking for a lawyer who enjoys being close to operations and is motivated by the growth of a company through acquisitions.
The ideal profile includes:
- Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) degree from a recognized Canadian law faculty.
- In good standing with the Barreau du Québec.
- Approximately 5 to 8 years of experience in corporate and commercial law.
- Demonstrated experience in mergers and acquisitions, including due diligence, drafting and negotiating transactional documents, coordinating closings, and post-acquisition integration.
- Strong experience in drafting and negotiating commercial contracts.
- Solid knowledge of employment law, corporate governance, and personal information protection legislation.
- Experience collaborating with external legal advisors.
- Experience in-house or with a corporate client is an asset.
- Experience in the healthcare sector or a highly regulated industry is also an asset, though not essential.
- Fluent in both French and English, both orally and in writing, to support teams and business activities across Canada.
