Reporting to the Chief Financial Officer, the Business Lawyer acts as a legal advisor to the various units of the organization.

The person is responsible for advising the company on all legal issues related to commercial and corporate activities, ensuring compliance, risk management, protection of the organization's interests, and adherence to applicable laws and regulations. They intervene in areas such as contractual, governance, transactions, and business development.

The person will primarily be responsible for corporate and commercial law, including contract management, as well as supporting merger and acquisition activities. Ultimately, they will also assume the role of Secretary to the Board of Directors.

The lawyer exercises their functions with professional independence, in the respect of the professional secret, and in the best interest of the company.

Commercial and Contractual Law

• Draft, review, and negotiate a variety of commercial contracts (suppliers, partners, clients, commercial leases, etc.)
• Ensure the legal compliance of commercial activities
• Develop and maintain contractual templates

Corporate and Governance Law

• Participate in the management of corporate entities (creations, modifications, restructurings)
• Maintain corporate records and update registers
• Prepare legal documentation required for decision-making instances
• Contribute to good governance practices

Transactions and Strategic Projects

• Participate in the purchase, sale, or reorganization of companies
• Perform or coordinate due diligence
• Collaborate with internal and external stakeholders (tax advisors, external law firms, financial institutions)
• Support growth, investment, and transformation projects

Advice and Risk Management

• Act as an advisor to internal teams on legal issues
• Identify and evaluate legal risks related to the company's activities
• Propose solutions tailored to operational issues

Corporate Governance and Board Secretary

• Ensure the preparation and management of Board of Directors meetings (agenda, documentation, follow-ups)
• Draft minutes and maintain corporate records
• Ensure compliance with applicable legal and regulatory requirements
• Advise the management and Board on good governance practices

Education and Experience

• Bachelor's degree in law
• Member in good standing of the Barreau du Québec (mandatory)
• Minimum of 10 years of experience in corporate and commercial law
• Experience in mergers and acquisitions (strong asset)

Skills

• Excellent drafting and contract negotiation skills
• Good understanding of business issues
• Ability to manage multiple cases simultaneously
• Strategic mindset and business sense
• Meticulousness, discretion, and professionalism
• Fluent in both French and English. The successful candidate will need to maintain regular interactions with clients and partners across Canada, hence the need to master both languages, both orally and in writing.
