Board of Directors of the SPUQ
The Société du patrimoine urbain de Québec (SPUQ) is launching a call for applications to fill two (2) volunteer positions on its board of directors.
The SPUQ manages the Îlot des Palais, a history and archaeology museum in Quebec City, and aims to promote the city of Quebec and its historic district, listed on the UNESCO World Heritage List, through dissemination, education, conservation, and research activities.
Description of Involvement
The board of directors meets once every three months, generally, at the Îlot des Palais in Quebec City between 5 p.m. and 8 p.m. (a meal is provided). Board members ensure the smooth operation of the organization, its visibility, and its sustainability. (A summer break is generally observed during the months of July and August.)
In addition to these meetings and the annual general assembly, board members can get more involved according to their interests and availability by joining existing committees, such as the sustainable development committee and the scientific committee for the renewal of the permanent exhibition. Some extraordinary meetings may be held as needed.
Profiles Sought
To ensure a complementarity of expertise within the board of directors, we are primarily looking for candidates with the following profiles:
Accountant
- Experience in the accounting of non-profit organizations;
- Knowledge of the tax obligations specific to non-profit organizations;
- Experience with common accounting software;
- Valid CPA title and member in good standing of the Order (in Quebec), an asset;
- Previous experience on a board of directors, an asset.
Lawyer or Legal Professional
- Experience or knowledge of the law applicable to non-profit organizations and their governance;
- Knowledge of the legal and regulatory obligations applicable to non-profit organizations, particularly in matters of governance, contracts, and compliance;
- Knowledge of copyright and intellectual property rights, an asset given the SPUQ's museum and heritage activities;
- Knowledge of the issues related to the protection of personal information, an asset;
- Previous experience on a board of directors, an asset.
Conditions and Commitment
- Duration of involvement: two (2) years – renewable (Treasurer of the Board)
Skills and Interests
- Sensitivity towards heritage, museums, and the cultural environment;
- Good understanding of the functioning and structure of non-profit organizations;
- Willingness to get involved regularly.
Accounting Profile
- Preparation or supervision of financial statements;
- Presentation of financial reports to the Board and the Annual General Assembly;
- Supervision of the annual budget and monitoring of deviations;
- Relationship with the external auditor;
- Compliance with regulatory requirements (Revenu Québec, ARC, Companies Act or Non-profit Organizations Act).
Legal Professional Profile
- Advice to the Board and management on legal and governance issues;
- Compliance with regulatory requirements and fulfillment of obligations related to the status of a non-profit organization (Companies Act or Non-profit Organizations Act, Revenu Québec, ARC);
- Review of contracts, agreements, and commitments of the SPUQ and identification of legal risks;
- Expertise in copyright and intellectual property rights, particularly for collections, archives, exhibitions, and digital content;
- Protection of personal information and compliance with applicable obligations;
- Support for risk management and the development or revision of the organization's policies.
