• PURPOSE

Reporting to the Vice President of Legal Services, the lawyer or notary is responsible for producing the appropriate legal documentation. He works in close collaboration with senior management, paralegals, and internal administrative staff. As needed, he is able to respond to the needs and questions of the clientele.

MAIN ACTIVITIES

• Administer and follow up on the files entrusted to him;
• Prepare documentation for files involving corporate reorganizations, mergers and acquisitions, liquidations of companies, rollovers, freezes, and incorporations of professionals;
• Prepare documentation for files involving the purchase and sale of companies (assets or shares), including the drafting of purchase offers, due diligence verification, and coordination of financing setup;
• Prepare various commercial contracts (service agreements and various agreements);
• Draft documents related to commercial leases;
• Perform research, analyses, and issue legal recommendations for internal staff as well as clients under his responsibility;
• Perform billing of completed mandates and submit them to management;
• Recommend aspects to be improved to increase the organizational efficiency of the department and team;
• Perform any other related and necessary tasks within the scope of his functions.

TECHNICAL KNOWLEDGE

• Master the Microsoft Office Suite (Excel, Outlook, and Word);
• Master the French language both orally and in writing;
• Knowledge of tax law (an asset);
• Master the English language both orally and in writing (an asset).

EDUCATION

• Hold a bachelor's degree in law;
• Be a member of the Quebec Bar or the Notary Chamber.

WORK EXPERIENCE

• Have between 1 to 3 years of experience as a lawyer or notary in corporate and commercial law within the context of SMEs and private companies.
