As the Senior Legal Advisor – Mergers and Acquisitions within the Legal Affairs team at Banque Nationale, you will play a central role in the execution of strategic transactions that contribute to the growth and transformation of the Bank. As the primary legal advisor for complex matters, you will advise stakeholders on risks, structuring, and negotiations, while collaborating closely with senior management and numerous internal partners. Your Role
- Lead mergers and acquisitions and other strategic transactions, from the outset of negotiations to closing, as the primary legal advisor.
- Draft, review, and negotiate complex transactional documents, including purchase agreements, shareholder agreements, and strategic commercial agreements.
- Lead due diligence exercises, identify key risks, and formulate practical and context-aware recommendations.
- Analyze business opportunities and contribute to the thinking surrounding the structuring of transactions.
- Advise business sectors and high-level stakeholders on legal, regulatory, commercial, and reputational risks throughout the transaction lifecycle.
- Collaborate closely with the Strategy and Corporate Development team, as well as various internal partners, including Finance, Taxation, Human Resources, and Investor Relations.

Within the Legal Affairs sector, you will report to the Senior Director, Strategic Initiatives and Partnerships. You will join a team of eight specialists with complementary expertise that plays a pivotal role in the evolution and transformation of Banque Nationale. - Hold a law degree (LL.B., J.D., or equivalent) and have 7 to 10 years of relevant experience gained in private practice, within a corporate legal department, or a combination of both contexts.
- Be a member in good standing of a Canadian bar or recognized professional legal order.
- Demonstrated experience in drafting, reviewing, and negotiating complex legal agreements and documents.
- Ability to formulate clear recommendations regarding legal, commercial, and reputational risks.
- Strong judgment, intellectual curiosity, diligence, and a strong sense of responsibility.
