Contract Lawyer – Business Law (0 to 3 years of experience)

Contractual Mandate | 10 to 20 hours per week | 100% remote work | Initial 3-month contract (renewal possible)

Our firm is looking for a lawyer to support us in the context of occasional mandates in business law and corporate taxation.

You will work directly with the founding partner of the firm on strategic files for a client base of entrepreneurs. You will be called upon to intervene on varied mandates in business law and corporate taxation, in an environment that fosters autonomy, collaboration, and professional development.

The position is entirely remote (100% remote work) and offers a flexible schedule. Hours may vary from week to week depending on the firm's needs and ongoing mandates.

This mandate is particularly well-suited for a lawyer who already practices on their own and wishes to complement their practice, or for a person pursuing further studies (LL.M., master's in taxation, etc.) and wishing to gain concrete experience in business law.

Main mandates:

• Drafting and reviewing commercial contracts (service contracts, employment contracts, shareholder agreements, share purchase agreements, etc.);
• Legal translation (French ↔ English) and review of translations;
• Participation in corporate reorganizations (successor freezes, tax rollovers, operations under section 85 of the Income Tax Act, etc.);
• Incorporations, organizational and corporate reorganizations;
• Preparation of minutes books, resolutions, amendments to articles of incorporation, and other corporate operations.

Profile sought

• Member of the Quebec Bar;
• 0 to 3 years of experience in business law;
• Strong interest in corporate law and taxation;
• Excellent legal writing skills;
• Excellent command of French and English, both spoken and written;
• Autonomous, rigorous, organized, and concerned with the quality of their work.
