Under the authority of the Director General of Financial Services to Enterprises, the incumbent contributes to the implementation of the financing and investment strategy (guaranteed or unguaranteed debt, equity, advance credit, etc.) of SODEC. They participate in all stages of the financing cycle, including business development, analysis of financing and private placement opportunities, negotiation, and conclusion of agreements, including risk mitigation. They oversee the portfolio and make interventions to create value, aiming to generate a positive impact beyond financial returns for cultural enterprises. They collaborate in the development of financial product strategies and the growth axes of the Company. They also participate in sectoral watch and make recommendations to ensure that processes and policies remain relevant and adapted to the needs of cultural enterprises.
DESCRIPTION OF FUNCTIONS
- Business Development and Financing and Investment Opportunities
- Identifies, creates, and approaches, autonomously, financing and investment opportunities with a potential return and aligned with the Company's Debt Financing and Investment Policy;
- Develops and maintains strategic relationships with actors in the financing and investment ecosystem that can contribute to the structuring of the financial package;
- Actively engages in their network to contribute to the shine of the Company;
- Acts as a representative of the Company within various committees as well as internal and external sector activities.
Analysis, Structuring, and Approval of Transactions
- Designs and structures financing and investment projects, conducts preliminary analyses, and directs in-depth evaluation of files;
- Presents financing and investment projects to decision-making bodies and ensures their approval;
- Leads the entire process, conducts negotiations, and secures financing and investment agreements, including shareholder agreements, subscription agreements, and any other required contract.
Transactional Coordination and Due Diligence
- Provides mobilizing leadership to maximize performance and execution quality;
- Coordinates the work of team members under their responsibility;
- Plans, organizes, and coordinates the implementation of financing and investment projects as well as due diligence work, including the use of external expertise as needed;
- Manages the various stages and components of studies in accordance with the project timeline and ensures communication between partners and specialized resources, internal and external;
- Establishes a global conclusion from due diligence work to determine the position of financing and investment.
Portfolio Management and Post-Investment Value Creation
- Provides proactive portfolio tracking, evaluates risks, and establishes necessary provisions, if applicable;
- Supports the achievement of objectives related to profitability, governance, and customer service;
- Maintains relationships with involved partners;
- Manages modification requests, ensures compliance with contractual commitments, and prepares follow-up files;
- Sits, if necessary, as an observer at board meetings and makes recommendations regarding the appointment of Company representatives;
- Proactively formulates recommendations for the management of complex files and risk mitigation;
- Collaborates in the recovery of defaulted financing, provides an evolution report, and recommends, if necessary, the implementation of guarantees in collaboration with the legal department and management;
- Develops strategies for the valuation of invested companies and defines and implements exit strategies to materialize the targeted returns;
- Maintains and develops knowledge related to the financing and capital markets as well as industry trends, particularly through participation in training, and shares this knowledge with colleagues;
- Participates in the development of financial product strategies and the growth axes of the Company;
- Contributes to sectoral watch and, if necessary, formulates recommendations to ensure the adequacy of processes and policies to the needs of cultural enterprises.
Performs other related tasks or special assignments as requested by the immediate supervisor.
REQUIREMENTS
- Bachelor's degree in Business Administration, Finance, or Accounting;
- CPA, EEE, CFA, or other relevant professional title (an asset);
- Minimum of five (5) to six (6) years of relevant experience in enterprise investment or financing at the commercial stage, including equity, debt, and negotiation;
- Experience in equity, quasi-equity, and debt investments, ideally in the cultural industries or related sectors;
- Extensive experience in negotiation, enterprise evaluation, enterprise financing/investment, and governance;
- In-depth knowledge of financing and development capital as well as public and corporate financing mechanisms for enterprises;
- In-depth knowledge of financial analysis methods, financial structuring, financing/investment file risk evaluation, and applicable legal and regulatory framework for enterprises and the Company (an asset);
- Strong skills in prospecting (anticipation and initiation of business opportunities), communication, and negotiation with various stakeholders;
- Knowledge of corporate governance;
- Experience on boards of directors;
- Good knowledge of the cultural industry;
- Ability to effectively navigate within the government apparatus and apply principles of good governance, particularly in terms of accountability;
- Very good knowledge of French grammar and writing rules;
- Good knowledge of English, both oral and written;
- Good knowledge of Office suite software.
