At the heart of CAA-Québec's governance, you will participate in the preparation, coordination, and oversight of the work of the board of directors and its committees. By joining CAA-Québec as a Corporate Secretary Assistant, you will play a key role while contributing to the fulfillment of legal and regulatory obligations and the application of best governance practices.
With your diligence, sense of organization, and attention to detail, you will ensure the quality of official documents and ensure compliance with obligations. You will operate within a collaborative team where your expertise, judgment, and contribution will have a concrete impact on the organization's functioning.
You will hold a regular full-time position (35 hours per week) and your presence in the office will be required 2 days per week.

- Establishes the processes and procedures required to facilitate the preparation and management of the board of directors' and its four committees' meeting documentation.
- Prepares the annual meeting schedule.
- Posts documents on the site for directors.
- Prepares the agenda for board of directors and committee meetings, as well as standard documentation.
- Assists in committee meetings and, if necessary, in board of directors meetings for official acts.
- Collaborates with concerned departments for the preparation and validation of documents for committees and the board of directors.
- Drafts various official documents, including minutes, reports, resolutions, and intercompany agreements.
- Ensures the maintenance of various registers and required entries for all entities of CAA-Québec.
- Acts as a substitute respondent and signer with government agencies in corporate law matters.
- Replaces the corporate secretary at the board of directors and on various committees, when required.

- College diploma in legal techniques, certificate or bachelor's degree in law, or equivalent experience.
- 5 years or more of experience in corporate secretarial and governance.
- Possesses great diligence and a high sense of organization.
- Excellent mastery of French.
- Knowledge of best practices in governance and corporate requirements for companies.
- Demonstrates a high degree of discretion in handling confidential information and acts effectively in fulfilling responsibilities.
